Buying an Amazon FBA Business business

Published · Reviewed by The Diligence Standard Team · Updated

An FBA business can show strong trailing SDE while one ASIN, one supplier, one review profile or one PPC engine creates most of the economics. Inventory and account health can change the deal faster than the headline multiple.

How the business works

Amazon FBA value depends on ASIN-level contribution margin, account health, review durability, PPC efficiency, inventory placement, supplier continuity, brand/IP ownership and how much demand exists beyond Amazon search rank.

Risks to test

  • One ASIN or variation drives most profit
  • Account-health, policy or listing-suspension exposure
  • PPC dependence and ranking volatility
  • Aged inventory and storage/liquidation costs
  • Supplier concentration, long lead times or weak quality control
  • Review/rating deterioration or listing hijacking risk
  • Brand Registry, trademark or account rights are not cleanly transferable

Evidence to request and reconcile

  • Seller Central business reports
  • ASIN-level fee/PPC/margin files
  • Account Health and policy history
  • FBA inventory aging and stranded inventory
  • Supplier invoices/POs and inspection reports
  • Trademark/Brand Registry documentation
  • Returns/refunds/reimbursements history
  • Settlement reports reconciled to books

Decision questions

  • How much profit comes from the top ASIN?
  • What happens if PPC cost rises or organic rank falls?
  • Has the account or any listing had material policy issues?
  • What inventory is aged, stranded or overstocked?
  • Which supplier terms and molds/tooling are protected?
  • Are reviews stable or dependent on one launch period?
  • How will brand, listings, inventory and operating access transition under current Amazon rules?
  • What cash is tied up from deposit to FBA sale?
