Amazon Seller Central due diligence

Published · Reviewed by The Diligence Standard Team · Updated

Amazon revenue is valuable only to the extent that the listing rights, account health, inventory position, advertising history and operating permissions survive the transaction.

Evidence to request

  • Settlement and transaction reports reconciled to bank deposits
  • Account Health Rating, policy warnings, suspensions and appeal history
  • SKU-level sales, returns, fees, advertising and contribution margin
  • FBA inventory age, stranded units, reimbursements and inbound liabilities
  • Brand Registry, trademarks, listing control and authorized-user records
  • Supplier invoices, product compliance and restricted-product support

Transfer risks

  • Account access or verification cannot continue under buyer control
  • Profit excludes storage, returns, reimbursements, advertising or reserve timing
  • One ASIN, keyword or marketplace produces most contribution
  • Inventory or product-compliance exposure follows the acquired entity

Control-change sequence

  • Identify whether the transaction is equity, assets or a permitted control change.
  • Document the entity, beneficial owner, bank, tax and primary-user changes required.
  • Keep seller access and transition duties explicit until buyer-controlled permissions are tested.

Amazon controls marketplace access and policies. A buyer should obtain current written guidance for the proposed transaction structure rather than assume an account can simply be handed over.
