Transaction reality · Before you sell
A retrade can reflect a real finding, or a negotiating strategy

Not every price reduction is unfair. Diligence can uncover facts that genuinely change value. But a finding and the buyer’s requested concession are not automatically the same amount.
How it appears in a real transaction
The disciplined response is neither immediate rejection nor immediate acceptance. Connect the original assumption, new evidence and actual economic consequence.
A practical example
A customer representing 20% of revenue is leaving. That matters. But the proper adjustment depends on margin, replacement prospects, avoided costs and whether the original valuation already reflected concentration.
What to do next
- Ask what changed from the LOI assumption.
- Request the evidence supporting the finding.
- Recalculate the economic effect independently.
- Check whether the issue is counted more than once.
