How to prepare financial records before selling a business
Published · Reviewed by The Diligence Standard Team · Updated
Start before marketing. Reconcile the statements, document unusual items, separate personal expenses, prepare customer and payroll schedules and keep unresolved differences visible. Clean presentation should follow clean evidence.
A realistic transaction story
Marcus planned to sell his HVAC company after receiving an unsolicited inquiry. His annual statements looked strong, but revenue classifications changed between years and personal charges were scattered across several accounts. Rebuilding the history during exclusivity slowed the process and weakened confidence.
What the evidence changed
The underlying business was healthy, yet inconsistent records made its strengths harder to defend.
What to check
- Write down the exact claim and who supplied it.
- Ask what was independently tested, by whom and under what scope.
- Create a documented earnings bridge and resolve or explain differences before a buyer sets the timetable.
- Translate any unresolved gap into cash, price, terms, timing or a decision not to proceed.
