How to prepare a data room before selling a business
Published · Reviewed by The Diligence Standard Team · Updated
A useful data room shows what exists, where it came from, which period it covers and whether it agrees with related records. An open-items list is better than hiding gaps inside a crowded folder tree.
A realistic transaction story
A wholesaler uploaded hundreds of files, yet customer sales by month and inventory aging were absent. The quantity of documents made the room appear complete until the buyer asked the questions that directly affected working capital and concentration.
What the evidence changed
File volume did not equal decision-ready evidence.
What to check
- Write down the exact claim and who supplied it.
- Ask what was independently tested, by whom and under what scope.
- Build the room from the expected diligence questions and maintain a visible request, version and open-items register.
- Translate any unresolved gap into cash, price, terms, timing or a decision not to proceed.
